ASGC Holding LLC & Ors v Innovo Holding Ltd & Ors
Checked against the judgment on 13 October 2026 · how we verify
Facts
The claimants are companies in the ASGC group, a Dubai-headquartered construction conglomerate. Mohamed Saif Mohamed Bin Shafar and Emad Azmy Gendi Wahba founded ASGC in 1989, and Mohammed Abdulla Mohammed Al Sayyah joined as a shareholder in 2013. All three were described in the proceedings as the 'Patriarchs' of their families and the controlling minds behind ASGC. The defendants are companies in the London-based Innovo group and individuals connected with both groups, including Abdulaziz Bin Shafar, Bishoy Azmy and Mariam Azmy, who had held senior roles at ASGC. ASGC alleged that these individuals carried out an 'Innovo Plan' that misused their control of ASGC to transfer its businesses, employees, IT systems and data to Innovo without shareholder authority. The defendants said the integration of the two groups, including shared IT systems under cooperation agreements, had the knowledge and consent of the three families. After the relationship broke down in late 2024, ASGC lost access to its Microsoft tenant, GoDaddy, e& (Etisalat)/Oracle and Autodesk platforms. It said it could not file audited accounts for 2024 and 2025, with serious consequences for its banking, contracts and regulatory position. On 9 April 2026 ASGC applied for an interim mandatory injunction requiring the defendants to procure access to and control of those systems, or clones of them. The defendants had applied for a stay under CPR Part 11, which Master Clark listed after this application. The eighth and ninth defendants settled with ASGC at the start of the hearing.
