Del Bosque Limited v Amir Shafie & Ors

Del Bosque Limited ("DBL") provides project management services to the construction industry; at the material time its largest client was the Department for Work and Pensions. The first defendant, Mr Amir Shafie, was a director, 25% shareholder and employee of DBL. In late 2021 he arranged for IT services to be supplied to DBL by "Infinite ICT", initially a trading name of a sole-trader business carried on by his father, the second defendant Farshid Shafie, and from September 2022 by the fourth defendant Infinite ICT Limited, of which Farshid Shafie and the third defendant Mr Mal were directors and shareholders. Infinite subcontracted most of the work to Vibrant Networks and invoiced DBL with a mark-up. In October 2023 DBL's board replaced Infinite with Coactive ICT; Mr Shafie was suspended in December 2023 and resigned on 28 February 2024, alleging repudiatory breach. He has an unfair dismissal claim and intends a petition under section 994 of the Companies Act 2006. DBL sued for breach of directors' duties, dishonest assistance, unlawful data extraction and conspiracy, an email systems failure and the return of domain name credentials. The claim was tried in the Circuit Commercial Court in Birmingham over three days in June 2026.
